These Terms of Use ("Terms") govern your access to and use of the MeltDesk platform and related services (the "Service") operated by MeltDesk Inc. ("MeltDesk", "we", "our", or "us"), a company incorporated in British Columbia, Canada.

By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

1. Description of Service

MeltDesk is a compliance and scheduling platform built for British Columbia Class 1 Mandatory Entry-Level Training (MELT) driving schools. The Service provides tools for managing student enrollment, tracking instructional hours, scheduling training sessions, recording assessments, and generating ICBC-required documentation including the Declaration of Completion (MV2970).

2. Eligibility and Account Registration

You must be at least 18 years of age and represent a legitimate ICBC-approved driver training school or related organization to use the Service. By registering, you confirm that the information you provide is accurate and complete.

You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. Notify us immediately at hello@meltdesk.com if you suspect unauthorized access.

3. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of ICBC regulations
  • Enter false, misleading, or fraudulent student or training records
  • Attempt to gain unauthorized access to the Service or its infrastructure
  • Reverse engineer, decompile, or extract source code from the Service
  • Resell, sublicense, or otherwise transfer access to the Service without written consent
  • Use the Service to transmit spam, malware, or other harmful content
  • Interfere with or disrupt the integrity or performance of the Service

4. Your Data

You retain ownership of all data you enter into the Service ("Your Data"), including student records, training schedules, and assessment results.

You grant MeltDesk a limited, non-exclusive licence to store, process, and display Your Data solely for the purpose of providing the Service to you.

You are responsible for ensuring that any personal information you enter about students, instructors, or other individuals is collected and processed in accordance with applicable Canadian privacy laws, including BC PIPA and PIPEDA.

5. ICBC Compliance Responsibility

MeltDesk provides tools to assist in managing MELT program compliance. However, you remain solely responsible for ensuring that your school's operations comply with all ICBC requirements, including but not limited to course delivery standards, instructor certification, record retention, and the issuance of Declarations of Completion. MeltDesk does not guarantee regulatory compliance and is not a substitute for professional advice.

6. Subscription and Payment

Access to the Service is provided on a subscription basis. Pricing, billing cycles, and payment terms are set out in your subscription agreement or order form. Fees are non-refundable except where required by applicable law. We reserve the right to suspend access to the Service for accounts with outstanding balances after reasonable notice.

7. Intellectual Property

The Service, including all software, design, content, and documentation, is owned by MeltDesk Inc. and protected by Canadian copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any rights to our intellectual property other than the limited right to use the Service as described herein.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MELTDESK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE FEES PAID BY YOU TO MELTDESK IN THE TWELVE MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless MeltDesk Inc. and its officers, directors, employees, and agents from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

11. Termination

Either party may terminate these Terms at any time. We may suspend or terminate your access immediately if you violate these Terms or if required by law, with or without prior notice.

Upon termination, your right to use the Service ceases. We will provide you with a reasonable opportunity to export Your Data prior to deletion.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law provisions. Any disputes shall be subject to the exclusive jurisdiction of the courts of British Columbia.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on the Service at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes your acceptance of the revised Terms.
